In these Terms of Use, the words "you," "your," and "user" mean each and every person who accesses or uses our Website. The words "we," "us," "our," and "SOMOS" mean Somos Cred Capital LLC, Somos Cred Capital GP LLC, its affiliates, and any pooled investment vehicle (a "Fund", and collectively, the "Funds") advised by Somos Cred Capital LLC. Whenever the words "include," "includes," or "including" are used in these Terms of Use, they will be deemed to be followed by the words "without limitation". The phrases "the Website," "its Website," and "our Website" (with matching case) mean www.somos.credit and www.somoscred.com.
Please review these Terms of Use carefully before using this Website. If you do not agree to these Terms of Use without limitation or exclusion, you should exit this Website. Use of this Website and its features are subject to these Terms of Use. These Terms of Use are effective immediately for new users and as of July 25, 2021 for existing users. By accessing this Website in any way, including by browsing this Website, using any information, and/or submitting contact or other information requests to SOMOS, you signify that you have read, understood, and agree to comply with and be bound by the terms, conditions, policies, and notices contained on this document (the "Terms of Use").
1. Changes to these Terms of Use.
SOMOS reserves the right to make changes to these Terms of Use from time to time. If we make any changes, we will post the updated Terms of Use on this Website and we will indicate at the top of this page the effective date for the revised Terms of Use. Any such changes shall be effective upon posting to this Website. Your use of this Website after we update the Terms of Use signifies your agreement to any changes. Accordingly, you agree to periodically review these Terms of Use when accessing or using this Website.
2. No Securities Offering or Investment Advice.
This Website, and the information included in these Terms of Use, are for general informational purposes only. Interests in any Fund shall not be offered or sold in any jurisdiction in which such offer, solicitation, or sale would be unlawful until the requirements of the laws of such jurisdiction have been satisfied. Before making an investment decision with respect to a Fund, potential investors are advised to carefully read the applicable CPOM, the limited partnership agreement of said Fund (if applicable), and the related subscription agreement, and to consult with their tax, legal and financial advisors.
Access to information about the Funds managed by, or the advisory services offered by, SOMOS is limited to investors who meet the applicable investor suitability, experience, and sophistication criteria. Users of this Website acknowledge that an investment in an investment fund (including the Funds managed by SOMOS) is speculative, involves a high degree of risk, and is intended for sophisticated investors only. An investor should not make an investment unless it is prepared to lose all or a substantial portion of its investment.
This Website and these Terms of Use are not intended to provide any accounting, financial, investment, legal, regulatory, tax, or similar advice. Nothing contained in this Website or these Terms of Use should be construed as a recommendation, by SOMOS or any third-party, to acquire or dispose of any investment or security, or to engage in any investment strategy or transaction. SOMOS reserves the right to delete your profile (if it exists) and any content or information that you have posted, and/or prohibit you from using or accessing this Website (or any portion, aspect, or feature thereof), at any time in its sole discretion, with or without notice, including without limitation, if SOMOS believes that you are under the age of 18.

Such Log-In Information shall only be provided to current investors in one or more of the Funds managed by SOMOS, or to prospective investors who are eligible to receive a CPOM, and/or are classified as accredited investors for one or more of such Funds.
Password-protected areas of this Website may contain performance information for the Funds managed by SOMOS. Users of this Website acknowledge that the past performance of any Fund should not be construed as an indicator of future performance. Any projections, market outlooks or estimates in the password-protected areas of this Website are forward looking statements and are based upon certain assumptions. Other events which were not considered may occur and may significantly affect the returns or performance of the Funds. As such, any projections, outlooks or assumptions included in the password-protected areas of this Website should not be construed to be indicative of the actual events which will occur. Further, SOMOS, in its sole discretion, may modify the investment strategy, the portfolio composition and the investment guidelines and restrictions at any time in any manner which it believes is consistent with its overall investment objective, without notice to current investors and those who can access the password-protected areas of this Website.

If SOMOS fails to act with respect to your breach or any other user’s breach on any of these Terms of Use on any occasion, SOMOS is not waiving its right to act with respect to future or similar breaches.
If any part of these Terms of Use is determined to be invalid or unenforceable in any jurisdiction, including the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use shall continue in effect.
